IP Issues in M&A Transactions
Business Law Section; Intellectual Property Law Section
This program is part of a collaboration between the IP Law Section and the Business Law Section, where we select a topic where or on which IP and business law attorneys work together, such as M&A transactions, and pair practitioners from each section to present on the topic. M&A transactions are complicated and typically involve many specialist attorneys, including business attorneys and IP attorneys. In many instances, the specialist attorneys work in silos, advising on their “part” of the deal and sometimes not fully appreciating or comprehending the other parts. In this program, we present an M&A transaction through the lens of a business attorney and an IP attorney, starting with the term sheet, and continuing to IP and business due diligence, preparing the transaction documents, negotiating IP representations and warranties, typical closing conditions, and concluding with typical business and IP integration challenges, and potential solutions. After this webinar, attendees should have a holistic view of IP issues in M&A transactions and a solid understanding of how business and IP attorneys can work together and support each other, and their common client, in these types of deals.
